Conflicts of Interest Policy

Ensures that personal interests do not influence, or appear to influence, the company's decisions.

Scope

This policy applies to all directors, officers, employees and contractors.

Declaration

Any actual or potential conflict between a personal interest and the company's interests must be declared in writing as soon as it arises. This includes directorships and shareholdings in other companies, family relationships with counterparties, and any personal benefit arising from a company transaction.

Directors

Directors declare their interests under section 536 of the Companies Ordinance (Cap. 622) of Hong Kong. A director with a material interest in a transaction does not vote on it and the fact of the declaration is recorded in the minutes.

Related party transactions

Transactions between the company and an entity connected with a director or shareholder are approved by the board, recorded, and entered into on arm's length terms.

Register

The company maintains a register of declared interests, reviewed at least annually.

Outside activities

Employees and contractors must not engage in outside work that competes with the company or that would impair their duties, without prior written approval.

Reporting a concern

Concerns about any matter covered by this policy may be raised with any director or by email to compliance@inbox.case.sg. Reports made in good faith attract no adverse consequence.
